Terms of Use of the Website of Energy Infrastructure Company

These Terms of Use are drafted for convenience in the masculine form only, but all content is intended for both women and men alike.

Any person browsing and/or using the website in any manner whatsoever (the “User”) is required to carefully read the rules detailed in these Terms of Use and in the Privacy Policy published on the website of Energy Infrastructure Company, which constitutes an integral and inseparable part of these Terms (the “Terms” and the “Website”, respectively), prior to any use of the Website.

A User who does not agree to the provisions of the Terms, in whole or in part, is requested to refrain from browsing or using the Website. It is hereby clarified that by browsing and/or using the Website, the User accepts, without reservation, all provisions of these Terms of Use and the Privacy Policy of EIC, together with all obligations arising therefrom, and fully agrees thereto.

 

1. General

1.1 The Website is the official website of the government-owned company Energy Infrastructure Ltd., Company No. 520027293, and/or any entity acting on its behalf (hereinafter and above: “EIC”), and serves all of its customers browsing the Website.

1.2 EIC is the owner and operator of the Website, which offers its users, inter alia, information regarding EIC’s activities, options for contacting its authorized representatives for various purposes, and services provided by it.

1.3 The headings of the Terms are provided for convenience only and shall not be used for the interpretation of any provision thereof.

1.4 The User declares and undertakes that he is aware of these Terms, has read them, understands all of their provisions, and agrees to all of them without exception, and that he and/or anyone on his behalf shall have no claim and/or demand and/or allegation, directly or indirectly, against EIC and/or anyone on its behalf, in connection with the Website and/or the information presented therein.

1.5 These Terms apply to the use of the Website and the content included therein, via a computer or any other communication device, including mobile phones, handheld computers, tablets, and the like.

1.6 For the avoidance of doubt and without derogating from the provisions of these Terms, the Website and the content displayed therein are provided “as is” and “as available”, without any undertaking of any kind on the part of EIC. EIC expressly disclaims any liability, express or implied, regarding the content and any information displayed on the Website, including, but not limited to, that the Website will be free of errors or that any errors therein will be corrected; and/or regarding the accuracy, quality, completeness, or usefulness of any information provided on the Website.

1.7 EIC reserves the right, at its sole discretion, to make changes to these Terms and/or to the Website, including, inter alia but not limited to, the structure and/or design thereof, and/or to discontinue and/or modify and/or condition the services or activities on the Website, in whole or in part, up to complete shutdown of the Website, and/or to change the dates on which services are provided and/or the times during which the Website may be used. In making such changes, EIC shall be entitled, inter alia but not limited to, to add and/or remove content and/or services existing on the Website and/or to restrict their use, without the need for prior notice. The User declares that he shall have no claim and/or demand and/or allegation against EIC and/or anyone on its behalf in respect of the implementation of such changes and/or malfunctions occurring in connection therewith. Any such change and/or addition shall take effect and apply to all Users immediately upon publication. Any action taken on the Website following such publication shall be subject to the updated version after the change. Accordingly, EIC recommends that Users review the updated version of the Terms prior to using the Website.

1.8 These Terms, as updated from time to time, constitute an agreement between the User and EIC and regulate the relationship between them, including any use of the Website and the provision of information within the framework of such use.

1.9 In this regard, use of the Website constitutes confirmation that the User understands, is aware, and agrees that EIC may collect and process certain data about him through the Website, which may include information that may directly identify him personally or indirectly allow inference of his identity.
EIC’s commitments regarding the collection, use, and transfer to third parties of personal information about the User shall be carried out solely in accordance with the Privacy Policy detailed at Sadanot St. 3, Herzliya, link to the policy, which constitutes a material and inseparable part of these Terms of Use, and which shall prevail over these Terms with respect to the collection, processing, and/or transfer of personal information by EIC through the Website.

1.10 The use of certain services on the Website may be subject to additional provisions and/or rules that will appear on the Website adjacent to the relevant service, without derogating from these Terms.

2. Use of the Website

2.1 Use of the Website, the services, and the content therein is for private and personal use only. Any action that may cause damage and/or constitute a violation of these Terms and/or the law and/or infringe in any way upon the rights of EIC and/or any third party is prohibited.

2.2 Commercial use of the Website and/or use for any illegal purpose and/or any prohibited purpose is prohibited, including identification and/or impersonation of any person or entity and/or providing false descriptions.

2.3 Without derogating from the generality of Sections 2.1 and 2.2 above, copying and/or imprinting and/or duplicating and/or modifying and/or scraping and/or reverse engineering and/or editing and/or distributing and/or transferring and/or selling and/or dismantling or reassembling any part of the code comprising the Website is prohibited, as well as such actions regarding the Website’s hardware and software and the content appearing on the Website from time to time, including but not limited to news, data, images, textual, audio, visual content and/or any combination thereof (“Content”), and/or making any change to the Content, whether for private or commercial use.

2.4 The User undertakes not to interfere with and/or harm the Website and its operation, including undertaking not to perform any of the following actions:
2.4.1 Uploading, sending, or transmitting any material containing a computer virus or other computer code designed and/or likely to destroy, disrupt, or limit the use of any computer, server, hardware, or software used by EIC for the Website.
2.4.2 Distributing “spam” to the Website’s servers or flooding them with any other mail.
2.4.3 Displaying the Website, or any part thereof, within a frame of another website, or as part of another website and/or any application (mirror), without EIC’s prior written consent.
2.4.4 Using any robot, “worm”, “spider”, search or retrieval engine, or any other automated or manual tool designed to index, retrieve, or locate information on the Website, or any such tool designed to expose the structure of the database and Website code.

2.5 Without derogating from Sections 2.3 and 2.4 above, use of the Content in a manner exceeding the terms set forth in these Terms is prohibited without EIC’s prior written consent.

2.6 The User undertakes to indemnify and compensate EIC and anyone on its behalf against any claim and/or demand, including attorneys’ fees and legal expenses, if any, arising from prohibited use of the Website, including use of the Content appearing on the Website, or resulting from use contrary to these Terms.

2.7 EIC reserves the right to take all legal and lawful measures available to it against anyone who violates its rights and/or these Terms.

 

3. Limitation of Liability

3.1 The Website may include information regarding a variety of EIC’s activities. It is clarified that such information does not detail all conditions, particulars, reservations, and instructions applicable to such activities and services and is presented in a general manner only (except for tenders, as detailed below). Accordingly, Users must rely on information provided by EIC’s representatives.

3.2 Without derogating from the above, in any case of contradiction and/or inconsistency between information appearing on the Website and information provided directly and in writing by EIC’s representatives, the information provided in writing by EIC’s representatives to the specific User shall prevail, except in tender matters, as detailed below.

3.3 EIC publishes its tender documents on the Website, which constitute the official and binding version, as well as clarification documents published as part of tender procedures. It is the responsibility of bidders wishing to participate in a tender procedure to review the Website from time to time for updates regarding the procedure and receipt of relevant documents such as consolidated responses to clarification questions and/or any other clarifications. In addition, bidders are responsible for registering to receive updates on the Website under a specific tender and for registering for participation in the tender and/or contractor site tours where required.
Notice of tender publication is made in accordance with the Mandatory Tenders Law, 1992, and additionally there is an option to register as a subscriber to receive publications regarding EIC tenders.
It is clarified that any clarification provided in writing by an authorized EIC representative shall prevail over any inconsistency and/or contradiction appearing in the tender documents published on the Website.

3.4 EIC does not undertake that the information and/or services on the Website will be uninterrupted, provided in an orderly manner, or free from malfunctions or failures. In such cases, EIC shall bear no liability whatsoever toward the User and/or anyone on his behalf.

3.5 EIC and/or anyone on its behalf shall not bear any liability toward the User, and the User shall have no claim and/or demand and/or allegation against EIC and/or anyone on its behalf in connection with the following damages:
(1) Any damage and/or loss and/or expense of any kind and/or injury and/or inconvenience and/or distress caused or that may be caused to the User;
(2) Disruption, malfunction, and/or interruption in the transmission of information to or from the Website;
(3) Damage and/or harm resulting from viruses, bugs, and/or other components that may harm the User’s personal computer and/or any other device while using the Website;
(4) Damage and/or harm and/or disruption and/or loss resulting from use of any Website Content and/or services available therein.

3.6 EIC shall not be responsible for any damage of any kind whatsoever, including but not limited to, in the occurrence of any of the following events:
3.6.1 Delay and/or postponement due to congestion in communication lines;
3.6.2 Disruption and/or omission and/or error and/or inaccuracy resulting from disruption and/or malfunction in communication means, hardware, software, the User’s computer system or EIC’s systems, or any other reason.

3.7 EIC is not responsible for any illegal activity carried out, if any, by any of the Website Users and/or any other party.

3.8 EIC has the right to prevent or discontinue, without prior notice and without providing any reason, any User’s access to the Website, in whole or in part, and the User shall have no claim and/or demand and/or allegation against EIC in this regard.

3.9 Without derogating from the above, EIC and/or anyone on its behalf shall not bear liability for any actions of any kind carried out by Website Users, third-party users, nor for any reliance by a User and/or any third party on any content, information, services, and/or products displayed or published on the Website and/or accessible via links, including information, images, and content published therein.

3.10 Without derogating from Section 3.9 above, the information presented on the Website does not constitute a substitute for the User’s independent examination of the suitability of services and/or products for his needs, and reliance shall not be placed on recommendations and/or reviews and/or general data published on the Website and/or on third-party websites, including regarding services or products offered therein.

 

4. Links to External Websites

The Website may occasionally use links to external websites (“Links”). It is hereby clarified that EIC does not support such websites and is not responsible for the content presented therein. Any such links are provided solely for the User’s convenience.
EIC is not and shall not be responsible in any manner for the Links and/or the linked websites and/or the information appearing therein. Any use of and/or access to the Links and/or linked websites is at the User’s sole responsibility and subject to the terms of use of those websites.
EIC may operate landing pages from time to time for specific activities or services. Unless stated otherwise, these Terms of Use shall apply to such landing pages, with the required changes and adaptations.

 

5. Ownership and Copyright

 You are requested to carefully read this Policy, and if you do not agree to its content and/or do not accept it in full, you must refrain from making any use of EIC’s Website, the use of and browsing in which are subject to the Terms of Use קישור לתקנון)) and to this Privacy Policy, which constitutes an integral and inseparable part of our Terms of Use.

5.1 The copyrights in the Website and all content appearing therein, and any other content related to the Website, are the exclusive property of EIC and/or third parties holding copyrights who have granted EIC a license to use their intellectual property.

5.2 No information appearing on the Website or any part thereof may be copied, distributed, published, sold, duplicated, transmitted, photographed, or modified in any manner whatsoever, without EIC’s prior written consent. Users are permitted only to download information from the Website for their personal use and for no other purpose. This applies whether the information is owned by EIC or by a third party.

5.3 The intellectual property on the Website, including copyrights and/or trademarks and/or designs and/or patents and similar rights, including the Website design, software, applications, graphic files, texts, images, technologies, processes, content, icons, computer code, and any other material included in the Website (“Website Content”), are the full and exclusive property of EIC or of third parties from whom EIC has lawfully obtained a license.

5.4 EIC retains all rights and ownership in the Website Content, and entry into the Website does not grant any license or right in the Website Content or any part thereof. The name “EIC” and the Website domain name, including all of EIC’s trademarks, are its exclusive property, and entry into the Website does not grant any license or right thereto.

5.5 In order to link to or display the Website on other websites and/or applications, EIC’s prior written approval is required.

 

6. Jurisdiction Clause

Any dispute and/or disagreement in connection with these Terms and/or the Website and/or their use and/or the services, if and to the extent they arise, shall be governed by the laws of the State of Israel only, and shall be adjudicated exclusively by the competent court in the city of Herzliya, which shall have exclusive jurisdiction.

 

7. Additional Terms

7.1 If any provision of these Terms of Use and/or the Privacy Policy is found to be illegal, void, or unenforceable for any reason, such provision shall be deemed severable and shall not affect the validity, legality, or enforceability of the remaining provisions.

7.2 Any right not expressly granted to the User is reserved to EIC and/or anyone on its behalf.
